Please read these Terms of Service carefully before using ClosePortal. By accessing or using ClosePortal, you agree to be bound by these Terms. If you do not agree, do not use the platform.
ClosePortal ("the Platform") is a software as a service (SaaS) product that provides real estate agents, brokers, and their clients with a transaction management and client communication portal. ClosePortal is operated by ClosePortal LLC.
ClosePortal is intended for use by licensed real estate professionals. By signing up, you represent that you are authorized to conduct real estate transactions in your jurisdiction. You must be at least 18 years old to create an account. Client portals may be accessed by clients of real estate professionals without a ClosePortal account.
By using ClosePortal, agents and brokers agree that they are solely responsible for:
ClosePortal is the technology platform facilitating these communications. Agents and brokers, not ClosePortal, are the senders of record for all text messages and emails sent through the Platform.
By checking the consent confirmation when creating a transaction, agents certify that their client has provided prior express written consent to receive automated text messages and emails regarding their transaction from their agent, their agent's brokerage, and ClosePortal as the technology platform facilitating these communications. Agents are solely responsible for maintaining records of client consent and for any TCPA violations arising from their use of the Platform.
ClosePortal is offered on a subscription basis. Billing is processed through Stripe. By subscribing, you authorize ClosePortal to charge your payment method on a recurring basis at the rate applicable to your selected plan.
You agree not to use ClosePortal to:
ClosePortal and all associated software, design, content, and trademarks are the exclusive property of ClosePortal LLC. You are granted a limited, non-exclusive, non-transferable license to use the Platform solely for your authorized business purposes.
Your use of ClosePortal is also governed by our Privacy Policy, incorporated herein by reference. You are responsible for ensuring that any client data you enter into the Platform is handled in compliance with applicable privacy laws.
ClosePortal includes AI-powered features ("Draft with Claude" and "Ask Claude") powered by Anthropic's Claude API. These features generate suggested content to assist agents and clients. ClosePortal does not guarantee the accuracy or completeness of AI-generated content. Agents are responsible for reviewing all AI-generated communications before sending. AI responses are informational only and do not constitute legal, financial, or real estate advice.
ClosePortal integrates with third-party services including Twilio (SMS), Resend (email), Stripe (billing), Supabase (database), Anthropic (AI), and Vercel (hosting). Your use of the Platform is also subject to the terms and policies of these third-party providers. ClosePortal is not responsible for the availability, accuracy, or conduct of these third-party services.
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. CLOSEPORTAL DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF SECURITY VULNERABILITIES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLOSEPORTAL DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CLOSEPORTAL LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM. IN NO EVENT SHALL CLOSEPORTAL'S TOTAL LIABILITY EXCEED THE AMOUNTS PAID BY YOU TO CLOSEPORTAL IN THE TWELVE MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless ClosePortal LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of your use of the Platform, your violation of these Terms, or your violation of any applicable law or third-party rights.
ClosePortal reserves the right to suspend or terminate your account at any time for violation of these Terms, non-payment, or conduct harmful to the Platform or its users. You may cancel your account at any time through your account settings or by contacting hello@closeportal.com.
These Terms shall be governed by the laws of the State of Connecticut. Any disputes shall be resolved through binding arbitration in Danbury, Connecticut, except that either party may seek injunctive relief in any court of competent jurisdiction.
ClosePortal reserves the right to modify these Terms at any time. Material changes will be communicated via email. Your continued use of the Platform after such notice constitutes acceptance of the revised Terms.
